NOTICE TO THE PUBLIC YOU ARE HEREBY NOTIFIED that there will be heard before the Judge presiding in the Superior Court of Clayton County, Georgia, on the 3rd day of March, 2021, at 9:00 a.m., via Zoom videoconference, which can be accessed by visiting https://us02web.zoom.us/j/8594696142 (Meeting ID: 859 469 6142) due to the COVID-19 pandemic, Georgia, the case of the State of Georgia v. Riverdale Downtown Development Authority and City of Riverdale, Georgia, Civil Action File No. 2021-CV-00420, in the Superior Court of Clayton County, the same being a proceeding to confirm and validate an issue of Riverdale Downtown Development Authority Revenue Refunding Bonds (Riverdale Town Center Improvements Project), Series 2021, in the aggregate principal amount of not to exceed $4,690,000 (the “Series 2021 Bonds”). The Series 2021 Bonds are being issued by the Riverdale Downtown Development Authority (the “Issuer”) in order to provide for the refinancing of the outstanding Development Authority of Clayton County (Georgia) (Riverdale Town Center Improvements Project), Series 2010A (the “Prior Bonds”) and thereby refinancing the cost of the acquisition, construction and equipping of a parking garage with approximately 150 parking spaces located in the Riverdale Town Center, and capital improvements to the Citys regional park, and paying certain capitalized interest and costs of issuance of the Prior Bonds (the “Refunded Project”). In such proceeding, the Court will also pass upon the validity and enforceability of an Intergovernmental Contract, to be dated as of the first day of the calendar month in which the Series 2021 Bonds are issued (the “Intergovernmental Contract”), between the City of Riverdale, Georgia (the “City”) and the Issuer. Under the terms of the Intergovernmental Contract, the Issuer will agree to refund the Prior Bonds and thereby effectuate the refinancing of the Refunded Project and, in consideration therefor, the City will agree to make certain payments in amounts sufficient to enable the Issuer to pay the principal of, premium, if any, and interest on the Series 2021 Bonds as the same shall become due and payable. Any resident of the City of Riverdale, Georgia, or any other person wherever residing who has a right to object, may become a party to those proceedings. THE ISSUER HAS AGREED TO PROVIDE THE ANNUAL ACTION REPORT REQUIRED BY O.C.G.A. § 36-42-18(e) AND HAS WAIVED THE PERFORMANCE AUDIT AND PERFORMANCE REVIEW REQUIREMENT PROVIDED IN O.C.G.A. § 36-82-100 AND WILL CONDUCT NO PERFORMANCE AUDIT OR PERFORMANCE REVIEW IN RESPECT OF THE BONDS, AS SUCH TERMS ARE DEFINED IN O.C.G.A. § 36-82-100.
